The appellant X.________ SA withdrew its civil appeal after settlement negotiations with A.________ and B.________. It asked the Federal Supreme Court to attach a lengthy settlement agreement as a final judgment. The Court held that the agreement was not a judicial settlement under Arts. 71 LTF and 73 al. 4 PCF because of its complexity, missing annexes, apparent involvement of non-parties, and a forum clause. The withdrawal therefore ended the proceedings, the case was struck off the docket, a reduced court fee of CHF 5,000 was charged to the appellant, and no party costs were awarded because the parties had waived them.
Art. 71 LTF; Art. 73 al. 4 PCF: a settlement can be treated as a judicial settlement only if it is suitable to serve as a definitive, enforceable title and is confined to the parties to the proceedings. A complex agreement with missing annexes, apparent effects on non-parties, and clauses inconsistent with immediate enforceability is not assimilated to a judicial settlement. Withdrawal of the appeal nevertheless terminates the proceedings; a reduced court fee may be charged to the withdrawing appellant, while party costs are excluded where the parties have waived them.

Vu:
la lettre de Me Micheli datée du 9 janvier 2014, par laquelle ce mandataire annonce le retrait du recours en matière civile par suite de l'aboutissement des pourparlers transactionnels engagés entre les parties;
la « convention globale et finale » jointe à cette déclaration, dont Me Micheli demande qu'elle soit « jointe au procès-verbal pour valoir arrêt définitif du Tribunal fédéral »;
Que la convention est un accord complexe de plus de dix pages, avec référence à plusieurs annexes qui n'ont pas été produites;
Que d'après les signatures dont elle est revêtue, la convention paraît engager aussi des personnes physiques et morales qui ne sont pas parties à la cause;
Que selon son texte, cette convention doit effectivement être « annexée au procès-verbal pour valoir arrêt définitif du Tribunal fédéral »;
Qu'elle comporte cependant aussi une clause d'élection de for visant « tout litige entre les parties »;
Que dans ces conditions, la convention paraît inapte à constituer un titre définitif d'exécution forcée;
Qu'elle ne sera donc pas assimilée à une transaction judiciaire aux termes des art. 71 LTF et 73 al. 4 PCF;
Que le retrait du recours en matière civile met néanmoins fin à la cause;
Qu'un émolument judiciaire réduit doit être prélevé auprès de la partie recourante;
Que toutes les parties ont, dans la convention, déclaré renoncer aux dépens.
La cause est rayée du rôle.
La recourante acquittera un émolument judiciaire de 5'000 francs.
Il n'est pas alloué de dépens.
La présente ordonnance est communiquée aux parties et au Tribunal cantonal du canton de Vaud.
