Omnilex-Zusammenfassung

The Federal Supreme Court did not enter into the appeal against the Zurich Commercial Court judgment dissolving the appellant company and ordering liquidation in bankruptcy. The appeal brief was unsigned, the defect was not cured within the time limit set by the court, and the filing also did not meet the remaining formal requirements of Art. 42 BGG. The court deemed the service of the rectification order effective under Art. 44 para. 2 BGG after the postal item was returned uncollected. Court costs of CHF 500 were charged to the appellant.

Omnilex-Regeste

Art. 42 Abs. 1, 2 und 5 BGG; Art. 44 Abs. 2 BGG; Art. 108 Abs. 1 lit. a und b BGG; form requirements of a federal appeal and consequences of non-compliance. An appeal to the Federal Supreme Court must contain prayers for relief, reasoning with evidence references, and the appellant's signature. If the filing is defective, the court may set a deadline for cure; failure to remedy the defect in time, or continued non-compliance with the formal requirements, leads to non-entry in simplified proceedings. A court order sent by registered judicial mail is deemed served when the addressee does not collect it and service prerequisites are otherwise met. The court costs are borne by the unsuccessful party, here the appellant (Art. 66 Abs. 1 BGG).

Gegenstand
Gesellschaftsrecht,

Beschwerde gegen das Urteil des Handelsgerichts des Kantons Zürich vom 31. Oktober 2012.
In Erwägung,
dass das Handelsgericht des Kantons Zürich mit Urteil vom 31. Oktober 2012 entschied, dass die Beschwerdeführerin aufgelöst werde, und deren Liquidation nach den Vorschriften über den Konkurs anordnete;

Whether the unsigned appeal brief satisfied the formal requirements for a federal appeal.

Extrahierter Entscheid

No. The filing lacked the required signature and the appellant did not cure the defect within the set deadline.

Extrahierte Begründung

Under Art. 42 para. 1 and 5 BGG, an appeal must be signed and defects must be remedied when the court sets a time limit. The appellant failed to file a signed version by 17 December 2012.

Kernrechtsfrage

Whether the appeal was admissible despite remaining formal defects in the submission.

Extrahierter Entscheid

No. The submission also failed to comply with the other formal requirements of Art. 42 paras. 1 and 2 BGG.

Extrahierte Begründung

Because the brief was not signed and did not otherwise meet the statutory formal requirements, non-entry was mandatory under Art. 108 para. 1 lit. a and b BGG.

Kernrechtsfrage

Who bears the court costs.

Extrahierter Entscheid

The appellant must bear the court costs.

Extrahierte Begründung

As the appeal was not entertained, costs were imposed on the appellant pursuant to Art. 66 para. 1 BGG.
