Omnilex-Zusammenfassung

In a mandate fee dispute, the authority held that the lawyer claiming payment must generally prove the existence and content of the mandate as well as proper performance. Because the lawyer owes diligent conduct, not success, the fee is earned only if the agreed services were duly rendered. If, however, the client unreservedly accepts the lawyer’s work or lets the case proceed without objection despite being kept informed, the burden shifts: the client must then prove that the lawyer performed badly if he wishes to avoid payment.

Omnilex-Regeste

Art. 8 ZGB; Art. 394 OR: In an action for attorney fees based on a mandate, the lawyer bears the burden of proving the conclusion and content of the mandate and, in principle, its proper performance. Since the mandatary owes only diligent conduct, not a specific result, entitlement to remuneration arises upon contract-compliant performance. An exception to the ordinary burden of proof applies where the client accepts the services without reservation or by conduct manifests satisfaction; in that case, if payment is refused on grounds of defective performance, the client must prove the inadequate execution (consid. on burden shifting).

Gesamter Gesetzestext

Kernrechtsfrage

Who bears the burden of proof for the existence and content of the mandate when a lawyer claims fees?

Extrahierter Entscheid

The lawyer claiming fees must prove that a mandate existed and what its content was.

Extrahierte Begründung

A party suing on a contract must prove its conclusion and essential terms. The lawyer, as mandatary, therefore bears the burden of proving the mandate relationship and its scope.

Kernrechtsfrage

Who bears the burden of proof for proper performance of the mandate in order to earn the fee?

Extrahierter Entscheid

As a rule, the lawyer must also prove proper performance of the mandate and that the services corresponded to the contractual obligation.

Extrahierte Begründung

The mandatary must show that the services were rendered in fulfilment of a specific obligation and in accordance with that obligation. Since the lawyer owes only diligent performance, not success, the fee is earned only if that duty is performed.

Kernrechtsfrage

When does the burden of proof shift to the client to prove poor performance?

Extrahierter Entscheid

If the client accepts the services without reservation or otherwise indicates satisfaction, the client must prove poor performance if he later refuses to pay.

Extrahierte Begründung

An exception to the ordinary burden rule applies where the client unreservedly accepts the lawyer’s services or knowingly lets the litigation proceed without objection, especially after being kept informed and even approving drafts. In that situation the client cannot later require the lawyer to prove due performance.
