  1. The articles of association must contain provisions concerning:
    1. the company name and its registered office;
    2. the objects;
    3. the minimum investment amount;
    4. the convening of general meetings;
    5. the executive and governing bodies;
    6. the media of publication.
  2. To be effective, the articles of association must include provisions on the following:
    1. the term;
    2. the restriction of shareholder eligibility to qualified investors and associated limitation of the transferability of shares (Art. 40, Para. 3);
    3. the categories of shares and rights associated therewith;
    4. the delegation of management and representation, and the attendant procedural details (Art. 51);
    5. the passing of resolutions by means of correspondence.
