Rechtsbegehren: (act.

OR). 2. Gestützt auf die Klage des Kantons Zürichs (Handelsregisteramt) wurde der Beklagten Frist zur Behebung des Mangels angesetzt (Prot. S. 2).

Extracted by Omnilex

Key legal question

Whether the defendant suffered from a severe organizational defect due to the absence of a legally compliant audit body.

Extracted holding

Yes. The company had no lawful audit body.

Extracted reasoning

A GmbH must have the organizational structure required by mandatory corporate law; the absence of a compliant audit body constitutes a serious defect.

Key legal question

What measure should be ordered after the defect was not cured within the set deadline.

Extracted holding

The company must be dissolved and liquidated according to bankruptcy rules.

Extracted reasoning

Because the deadline to cure the defect passed unused, the court had to order dissolution and liquidation in the manner provided by law.

Key legal question

Allocation of court costs and compensation.

Extracted holding

The defendant bears the court costs and must pay a modest compensation to the plaintiff.

Extracted reasoning

As the losing party, the defendant is liable for costs and must reimburse the plaintiff's efforts.
