Omnilex summary

The Handelsgericht of the Canton of Zurich dealt with a claim by the Canton of Zurich, acting through the commercial register office, against A._____ GmbH for a serious organizational defect. The company had neither a lawful auditor nor a registered waiver of the limited audit, and it failed to remedy the defect within the deadline set by the court. The single judge therefore ordered dissolution of the company and liquidation according to bankruptcy rules. The court also fixed the fee, charged the defendant with the costs, and awarded the plaintiff an allowance for expenses.

OR), − keinen eingetragenen Verzicht auf die (eingeschränkte) Revision (Art. 727a Abs. 2 OR). 2.
