Omnilex summary

The Zurich Commercial Court held that the defendant company had a serious organizational defect because it lacked a lawful audit office and had not registered a waiver of limited audit. The company failed to cure the defect within the deadline set in the proceedings brought by the Zurich commercial register office. The court therefore ordered dissolution and liquidation according to bankruptcy rules, appointed the Winterthur-Altstadt bankruptcy office to التنفيذ, and charged the company with court costs and a CHF 300 out-of-pocket compensation to the plaintiff.

Omnilex headnote

Art. 731b Abs. 1 Ziff. 3 OR; failure to remedy a serious organizational defect after expiry of the court-imposed deadline requires dissolution of the company and liquidation under bankruptcy rules. The court proceeds coercively once the defect persists; a lawful audit body or a registered waiver of limited audit is required. If the defendant does not cure the defect in time, the threatened measure is ordered. Costs follow the result under Art. 106 ZPO, and the successful claimant may receive reasonable compensation for necessary outlays under Art. 95 Abs. 3 lit. c ZPO.

Extracted by Omnilex

Key legal question

Whether the company suffered a serious organizational defect requiring court intervention.

Extracted holding

Yes. The company had no lawful audit office and no registered waiver of restricted audit.

Extracted reasoning

The absence of a statutory audit body and of a registered waiver constituted a serious organizational defect under corporate law.

Key legal question

What measure should be ordered after the defect was not remedied within the deadline.

Extracted holding

The company must be dissolved and liquidated under bankruptcy rules.

Extracted reasoning

Because the deadline to cure the defect expired unused, the threatened consequence had to be imposed under Art. 731b para. 1 no. 3 OR.

Key legal question

Allocation of costs and party compensation.

Extracted holding

The defendant bears court costs and must pay the plaintiff CHF 300 in compensation.

Extracted reasoning

The defendant lost the case and therefore bears the costs; the plaintiff is entitled to reasonable compensation for its efforts.
