Omnilex summary

The plaintiff sought relief under the German Insolvency Code against the defendant. The Bonn Local Court dismissed the claim, holding that information that a GmbH had ceased its business activities and was being liquidated did not, by itself, establish that the recipient knew the company was unable to pay its debts. The plaintiff was ordered to bear the costs. The judgment was declared provisionally enforceable, subject to the stated security arrangements.

Omnilex headnote

InsO § 130(1), sentence 1, no. 1; knowledge of a debtor’s inability to pay: Notification that a GmbH is ending its business operations and entering liquidation does not, without additional circumstances, establish that the recipient knows the GmbH is insolvent. The cessation and winding-up of a company’s activities are not equivalent to knowledge of its inability to meet due obligations. Such a notice alone therefore does not satisfy the knowledge requirement for avoidance under § 130(1), sentence 1, no. 1 InsO.
