le recours en matière civile formé par A.________ à l'encontre du jugement du 21 décembre 2011 de la Cour civile du Tribunal cantonal vaudois;
la requête d'assistance judiciaire présentée par le recourant;
l'ordonnance du 16 juillet 2012 par laquelle la Ire Cour de droit civil du Tribunal fédéral a rejeté cette requête;
l'ordonnance du 17 juillet 2012 de la Présidente de la Ire Cour de droit civil invitant le recourant à verser une avance de frais de 5'000 fr. jusqu'au 29 août 2012;
la lettre du 23 août 2012 par laquelle le mandataire du recourant a retiré le recours au nom du mandant;

considérant:
qu'il y a lieu de prendre acte du retrait du recours et de rayer la cause du rôle (art. 32 al. 2 LTF);
qu'il convient de tenir compte, pour le frais, de l'art. 66 al. 2 LTF;

par ces motifs, le Juge unique ordonne:

Il est pris acte du retrait du recours.

2.
La cause 4A_286/2012 est rayée du rôle.

3.
Un émolument judiciaire de 500 fr. est mis à la charge du recourant.

La présente ordonnance est communiquée aux parties et à la Cour civile du Tribunal cantonal du canton de Vaud.
