Résumé Omnilex

The Zurich Commercial Court dealt with a claim by the cantonal commercial register office concerning an organizational defect in A._____ GmbH. When the action was filed, the company lacked a rule on its auditors, but this defect was cured during the proceedings by a register entry on 20 July 2011. The single judge therefore struck the case off as moot. Because the defendant had caused the proceedings, it was ordered to bear the court fee of CHF 2,200 and to pay the plaintiff CHF 300 in compensation for expenses.

Regeste Omnilex

Art. 242 ZPO; organizational-defect proceedings become moot once the missing statutory organizational element is cured during the pending case. In such a situation the court may strike the matter off without deciding the merits. Procedural costs are allocated according to equitable discretion under Art. 107 Abs. 1 lit. e ZPO; if the defendant's conduct triggered the filing of the action, court costs and an expense compensation may be imposed on the defendant (Art. 95 Abs. 3 lit. c ZPO).

Verfügung vom 14. Oktober 2011

in Sachen

Kanton Zürich, Handelsregisteramt des Kantons Zürich, Kläger

gegen

A._____ GmbH, Beklagte

betreffend Organisationsmangel

Rechtsbegehren: (act.

Question juridique clé

How procedural costs should be allocated after the case became moot

Solution extraite

Costs were imposed on the defendant, and the plaintiff was awarded an expense compensation of CHF 300.
