Résumé Omnilex

The District Court of Beckum refused approval of an agreement transferring a farm. It found that a conditional duty to transfer the farm back could substantially restrict the transferee's independent management, including by impeding access to investment credit and requiring coordination with the transferor. The possibility of securing a priority notice of conveyance by interim injunction also supported that conclusion. The court further held that retransfer to the transferor's wife after his death could exclude first-order farm heirs in favor of a second-order heir. The transferee was ordered to bear court costs; no out-of-court cost reimbursement was ordered.

Regeste Omnilex

HöfeO §§ 16, 17 and 5; GrdstVG § 9(1)(1), (2); BGB §§ 883, 885(1), second sentence: Approval of a farm transfer must be refused where its terms conflict with measures to improve agrarian structure by materially impairing the transferee's independent management. A conditional duty to retransmit the farm may prevent the transferee from obtaining investment credit and may subject ordinary management decisions to the transferor's agreement. The risk of an interim injunction securing a priority notice of conveyance under BGB §§ 883 and 885(1), second sentence, can establish such impairment even where the parties did not agree to register a notice. A retransfer arrangement that, after the transferor's death, favors the spouse over first-order farm heirs may also justify refusal of approval.

Leitsätze

Approval was refused because the transfer materially restricted the transferee's independent farm management and could undermine agrarian structural improvement and the succession rights of first-order heirs.

A conditional retransfer obligation could prevent the transferee from obtaining investment credit and require coordination with the transferor. An injunction could also secure a priority notice of conveyance in the land register under BGB §§ 883 and 885(1), even without an agreed notice. Retransfer to the transferor's wife after his death could exclude first-order farm heirs in favor of a second-order heir.

The transferee bears the court costs; no order was made for reimbursement of out-of-court costs.
