The Federal Court rejected the plaintiffs’ non-admission complaints against the OLG Frankfurt judgment. Die Nichtzulassungsbeschwerden der Kläger gegen das Urteil des 5. Zivilsenats des Oberlandesgerichts Frankfurt am Main vom 2. Oktober 2012 werden zurückgewiesen, weil keiner der im Gesetz (§ 543 Abs. 2 ZPO) vorgesehenen Gründe vorliegt, nach denen der Senat die Revision zulassen darf. Der Rechtsstreit der Parteien hat weder grundsätzliche Bedeutung, noch erfordert er eine Entscheidung des Revisionsgerichts zur Fortbildung des Rechts oder zur Sicherung einer einheitlichen Rechtsprechung. Der Senat hat die Verfahrensrügen geprüft und für nicht durchgreifend erachtet.

Insbesondere besteht kein Zulassungsgrund zur behaupteten unzureichenden Beschallung des Catering-Bereichs der Hauptversammlung. Wird die Hauptversammlung in andere Räume als den eigentlichen Versammlungsraum nicht übertragen, wird das Teilnahmerecht des anwesenden Aktionärs selbst dann nicht beeinträchtigt, wenn die Übertragung in einen so genannten Präsenzbereich angekündigt worden ist. Eine Übertragung der Hauptversammlung in Vor- oder Nebenräume wie den Catering-Bereich, Raucherecken o.ä. wird aktienrechtlich nicht verlangt. Wenn eine zugesagte Übertragung in solche Räume nicht stattfindet, kann der Aktionär dies beim Verlassen des Versammlungsraums unschwer erkennen. Er kann sich dann selbst entscheiden, ob er in den Versammlungsraum zurückkehren will. Die Entscheidung des LG München I (AG 2011, 263 und BB 2010, 1111), die durch eine unzureichende Beschallung eines Präsenzbereichs das Teilnahmerecht verletzt sah, ist vereinzelt geblieben (vgl. dagegen OLG München, ZIP 2013, 931, 933; OLG Frankfurt, Beschluss vom 8. Februar 2006 - 12 W 185/05, juris Rn.79; MünchKommAktG/Kubis, 3. Aufl., § 118 Rn. 70 Fn. 160) und führt nicht zu einem grundsätzlichen Klärungsbedarf.

Von einer weiteren Begründung wird gemäß § 544 Abs. 4 Satz 2, 2. Halbsatz ZPO abgesehen.

Von den Kosten des Beschwerdeverfahrens tragen der Kläger zu 1 ½ sowie die Kläger zu 2 und 3 jeweils ¼ (§§ 97, 100 ZPO).
