Resumo Omnilex

The Zurich Commercial Court found that A._____ AG suffered from a serious organisational deficiency because it had no Swiss-domiciled authorised representative and no valid domicile. The court had previously granted a deadline to cure the defect, but the company failed to act. The court therefore ordered dissolution and liquidation under bankruptcy rules. It also assigned the liquidation to the bankruptcy office, fixed court fees at CHF 2,200, charged them to the defendant, and awarded the plaintiff CHF 300 in compensation.

Art. 718 Abs. 4 OR, Art. 731b Abs. 1 Ziff. 3 OR; organisational deficiency of a company and dissolution: if a corporation lacks a person authorised to represent it with domicile in Switzerland or otherwise fails to satisfy mandatory organisational requirements, the court sets a remedy period. If the defect is not cured within that period, dissolution and liquidation according to bankruptcy rules are mandatory. Costs follow the outcome under Art. 106 ZPO; the successful applicant may be awarded an allowance for out-of-pocket efforts under Art. 95 Abs. 3 lit. c ZPO.
